DoorDash to Acquire Instacart for ~$17B

Original: DoorDash to acquire Instacart

Why This Matters

Combines the two largest U.S. on-demand delivery platforms, reshaping grocery logistics.

DoorDash announced a definitive agreement to acquire Instacart (Maplebear Inc.) at $65 per share—a 26% premium—valuing the grocery delivery platform at roughly $17 billion in equity. The deal is at least 75% cash.

DoorDash (NASDAQ: DASH) and Maplebear Inc. (NASDAQ: CART), the parent of Instacart, announced on October 29, 2026 a definitive merger agreement worth approximately $17 billion in equity. The offer price of $65 per share represents a 26% premium over Instacart's closing price on October 22, 2026. At least 75% of the consideration will be paid in cash; Instacart shareholders may elect cash, DoorDash stock, or a mix, subject to a cap preventing DoorDash stock from exceeding 25% of total consideration. Instacart's board unanimously approved the deal.

The two companies position the combination as a tech platform for local grocers and retailers competing against large online retailers building their own delivery fleets, warehouses, and AI shopping tools. DoorDash would contribute its delivery network and DashMart Fulfillment Services; Instacart would add its grocery picking technology, retailer website software, and retail media capabilities. "Grocery is one of the hardest things to get right online," said DoorDash CEO Tony Xu. "Instacart has spent years learning to do that well for grocers, while DoorDash has built a delivery network and technology that local stores rely on."

The merged entity is also expected to expand advertising options for consumer brands and create additional earning opportunities for both Dashers and Instacart Shoppers.
